The Winery (hereinafter 'Destination Site') hereby grants CalWine (hereinafter 'Source Site') the right to display the link/Link Logo/mark image at the Source Site and the non-exclusive right to publicly display the trademarks/ images/ logos contained in the link provided by Destination Site for the sole purpose of enabling users of the Source Site to access the Destination Site through use of the link. CalWine shall be entitled to link to any page of the Destination Site which is publicly available from the home page and not to any other Web site.
CalWine obtains no trademark rights under this agreement and shall not use or display any proprietary material of Destination Site other than for the purpose described herein. CalWine agrees and acknowledges that Destination Site is the sole owner of all rights in the link logo, and that any use of it will inure to the benefit of the Destination Site. CalWine shall not adopt, use, register, or attempt to register anywhere in the world any logo, trademark, service mark, trade name or domain name confusingly similar to the link logo. This Agreement gives CalWine no rights to any intellectual property of destination site.
CalWine shall not use the Link or Link Logo to disparage Destination Site, or its products or services in any way that would tend to diminish or damage the goodwill of Destination Site. CalWine shall not use the the Link, and/or the Link Logo in any manner that implies sponsorship or endorsement of its products, services, and/or Internet Web site by the Destination Site.
CalWine shall not frame or alter the appearance of the Link Logo in any way, or combine it with any other names, marks or logos. CalWine shall not use the Link Logo as a feature or design element of any other logo. The Link Logo shall stand by itself and shall be surrounded by a minimum of 30 pixels of empty space around the logo to prevent unintended associations with any other objects. CalWine shall not display the Link Logo more prominently than its own company, product, Internet Web site name, or logo.
Destination Site, in its sole discretion, may terminate or modify their permission to use the link logo at any time. CalWine agrees that upon Destination Site's termination of their permission to use the link logo, CalWine will immediately cease all further use of the link logo and any other similar mark, name or logo, and shall promptly remove the link at its own expense. CalWine shall maintain its site in accordance with industry standards, and shall promptly notify destination site of any change to the link or to the Source Site that affects the display of the link or mark image and shall not substantially modify the link or mark image without notice to the Destination Site.
